Terms of Service

The rules that govern your use of the UMAX Fleet application, dashboard, and APIs. Read carefully — these terms create a binding agreement between you and UMAX Fleet Solutions LLC.

Plain-English summary. Use UMAX Fleet for its intended purpose — running a fleet, saving on fuel. Don't try to break it, resell it, or use it for unlawful activity. We provide the service on a month-to-month basis with a 30-day trial. Either of us can cancel at any time.

1. Agreement

These Terms of Service (the "Terms") are a binding agreement between UMAX Fleet Solutions LLC, a Delaware limited liability company ("UMAX," "we," "our," or "us"), and the entity or individual that accesses the UMAX Fleet application, web dashboard, APIs, and related services (the "Services"). By creating an account or using the Services, you accept these Terms.

2. Eligibility

You must be at least 18 years old and authorized to bind the fleet entity you represent. The Services are intended for commercial fleet operations and are not offered to consumers in their personal capacity.

3. Accounts

You are responsible for safeguarding account credentials and for all activity under your account. Notify us immediately at support@umaxfleet.com if you suspect unauthorized access.

4. Subscription & billing

Fleet plans are billed monthly, in advance, on a per-truck basis. Fees are non-refundable except as required by law. Individual driver accounts are free. We may adjust pricing with 30 days' written notice; price changes apply to the next billing cycle.

5. Trial period

New fleets receive a 30-day trial of paid features without payment information required. At the end of the trial, the account converts to a free plan unless an administrator activates a paid subscription.

6. License

Subject to these Terms, UMAX grants you a non-exclusive, non-transferable, revocable license to use the Services for your internal fleet operations. All other rights are reserved.

7. Acceptable use

You agree not to:

Use the Services for unlawful activity, including fraud, money laundering, or sanctions evasion.
Reverse-engineer, decompile, or scrape the Services or their data.
Resell or sublicense the Services without our written consent.
Submit false transaction data, manipulate pricing reports, or impersonate another driver.
Interfere with the operation of the Services or the security of other customers.
Use the Services to operate vehicles in violation of applicable safety regulations.

8. Fleet cards

Fleet cards processed through UMAX remain subject to the issuing network's terms (EFS, Comdata, WEX, Fuelman, or the UMAX card terms). We are not responsible for declined transactions, network outages, or disputes between you and the card issuer.

9. Customer data

You retain ownership of your fleet, driver, and transaction data. You grant UMAX a limited license to process this data solely to provide and improve the Services, in accordance with our Privacy Policy.

10. Service availability

We target 99.9% monthly uptime for the production API and dashboard, measured excluding scheduled maintenance and force-majeure events. Status, incident reports, and post-mortems are published at our public status page (forthcoming).

11. Intellectual property

UMAX, the UMAX Fleet name, logo, and the software, design, and content of the Services are owned by or licensed to UMAX Fleet Solutions LLC and are protected by U.S. and international intellectual property laws.

12. Disclaimers

The Services are provided "as is" and "as available." UMAX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Pricing data is presented in good faith but UMAX does not guarantee that any given pump price will match the displayed price at the moment of transaction.

13. Limitation of liability

To the maximum extent permitted by law, UMAX's aggregate liability arising out of or relating to the Services in any 12-month period will not exceed the fees paid by you to UMAX in that period. UMAX will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue.

14. Indemnification

You will indemnify and hold UMAX harmless from claims arising out of your violation of these Terms, your customer data, or your operation of any vehicle in connection with the Services.

15. Termination

You may cancel your account at any time from the dashboard. We may suspend or terminate accounts that violate these Terms, with notice where reasonably practicable. On termination, your right to use the Services ends; we will retain your data only as required by our retention policy.

16. Disputes & governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes will be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property or confidential information.

17. Changes

We may revise these Terms. Material changes will be communicated to active administrators by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
